Terms & Conditions:

1. Validity of Quotation

This quotation is valid for 30 days from the date of issue unless otherwise stated. Prices and availability are subject to change after the validity period.

2. Pricing

All prices are quoted in USD unless specified otherwise and are exclusive of applicable taxes, duties, permits, installation charges, delivery surcharges, and other fees unless expressly included.

3. Order Confirmation

Orders are considered confirmed only upon receipt of a signed acceptance and required deposit. Any modifications requested after confirmation may result in price and delivery adjustments.

4. Payment Terms

Unless otherwise agreed in writing:

50% deposit upon order confirmation

40% prior to delivery or shipment

10% upon completion of installation or delivery

Late payments may be subject to interest charges of 1.5% per month or the maximum permitted by law.

5. Production & Lead Times

Lead times are estimates and commence upon receipt of deposit, final approvals, and complete specifications. Keyidea Contract Furniture Group shall not be liable for delays caused by factors beyond its control, including supply chain disruptions, shipping delays, or force majeure events.

6. Delivery & Risk Transfer

Delivery dates are approximate. Risk of loss or damage transfers to the client upon delivery to site or handover to the carrier. The client is responsible for ensuring clear site access and readiness for delivery and installation.

7. Storage & Redelivery

If delivery is delayed due to client readiness or site conditions, storage and redelivery fees may apply.

8. Installation

Installation services include only the scope stated in the quotation. Electrical works, structural modifications, permits, and site preparation are the responsibility of the client unless explicitly included.

9. Inspection & Acceptance

The client shall inspect the goods upon delivery. Any visible damage, shortages, or defects must be reported in writing within 48 hours of receipt.

10. Returns & Cancellations

Custom, made-to-order, or special-order items are non-cancellable and non-returnable once production has begun. Approved cancellations may be subject to restocking and administrative fees.

11. Warranty

Products carry manufacturer warranties where applicable. Keyidea Contract Furniture Group warrants that installation services will be performed in a professional manner. Warranty does not cover normal wear and tear, misuse, improper installation by others, or unauthorized modifications.

12. Changes & Variations

Client-requested changes after order confirmation may affect pricing, lead time, and scope. Written approval is required before implementation.

13. Force Majeure

Keyidea Contract Furniture Group shall not be liable for failure or delay in performance due to circumstances beyond reasonable control, including natural disasters, labor disputes, transport disruptions, or governmental actions.

14. Limitation of Liability

To the fullest extent permitted by law, liability shall be limited to the value of the goods and services supplied. Keyidea Contract Furniture Group shall not be liable for indirect, incidental, or consequential damages.

15. Governing Law

This agreement shall be governed by and interpreted in accordance with the laws of the State of New York, USA, unless otherwise agreed in writing.

Acceptance of Quotation:

I, the undersigned, hereby confirm acceptance of the terms, conditions, pricing, and specifications detailed in this quotation. I understand that any changes to the scope, specifications, or requirements may result in adjustments to the final cost. By signing below, I formally agree to the terms of this quotation and authorize Straton Office Systems to proceed with the order as outlined.
